PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR LEGAL RIGHTS, INCLUDING A BINDING ARBITRATION AGREEMENT AND A CLASS ACTION WAIVER, A LIMITATION OF HIDO'S LIABILITY, AND YOUR RESPONSIBILITIES WHEN USING A MEDICATION DISPENSING DEVICE.
THE HIDO MOBILE APPLICATION AND THE HIDO MEDICATION DISPENSER ARE PROVIDED TOGETHER AS A SINGLE SERVICE. YOU CANNOT USE THE APPLICATION WITHOUT AN ACTIVE DISPENSER, AND THE DISPENSER IS CONFIGURED THROUGH THE APPLICATION. THESE TERMS COVER BOTH.
BY CHECKING THE "I AGREE" BOX, BY ACTIVATING A DISPENSER, OR BY ANY OTHER USE OF THE SERVICE, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.
These Terms are an agreement between you and HiDO Technologies, Inc., doing business as HiDO Health (referred to here as "HiDO," "we," "us," or "our"). HiDO is a Delaware corporation with operations in California.
You are agreeing to these Terms if you:
If you are agreeing on behalf of someone else — for example, a parent, spouse, adult child, or someone for whom you hold a durable power of attorney, conservatorship, or other legal authority — you represent and warrant that you have the legal authority to do so. The patient and you are both bound by these Terms.
The Service is an integrated system that helps organize, schedule, and dispense oral medications. The Service includes:
The Service is an organizational and adherence support tool. The Service is not a doctor, a nurse, a pharmacist, a pharmacy, or a healthcare provider. The Service does not diagnose disease, prescribe medications, provide medical advice, or replace any part of professional medical care.
The Service does not create a doctor-patient relationship, a provider-patient relationship, a pharmacist-patient relationship, a nursing relationship, or any other fiduciary or healthcare relationship between you and HiDO.
Only your physician, pharmacist, and other licensed healthcare providers can decide what medications you should take, in what amounts, and on what schedule. Always follow their instructions. Always consult them before changing or stopping any medication.
Do not use the Service for medical emergencies.
If you are experiencing chest pain, difficulty breathing, a stroke, a fall, a fainting episode, a severe allergic reaction, an overdose, suicidal thoughts, or any other emergency:
Do not rely on the Service to alert anyone in an emergency. The Service is not designed for and is not appropriate for emergency response.
To use the Service you must:
The Service is not directed to children under 18, and we do not knowingly collect information from anyone under 18. If you believe a person under 18 has provided us information, contact us using the information in Section 36 and we will delete the information.
You will create an account to use the Service. You agree to:
You may not impersonate someone else, use another person's name without permission, or transfer your account to another person without our written consent.
HiDO grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to use the App and the Dispenser for your own personal, household, or caregiving use, while these Terms are in effect, and only as the Service is intended to be used.
You may not, and may not permit anyone else to:
The Service is licensed, not sold. HiDO and its licensors retain all right, title, and interest in the Service, including all intellectual property rights.
The Service is a tool. You and your caregivers remain responsible for medication.
When you (or your caregiver) load, manage, or use the Dispenser, you agree to:
HiDO may refuse to support a medication configuration if, in our judgment, it is unsafe, technically incompatible, or outside the Service's intended use.
To set up the Dispenser, HiDO personnel need to measure your medications so that we can select and fit the correct dispensing caps. This work happens only in your home (or another location you authorize), in the presence of you or your Representative. By using the Service, you authorize HiDO personnel, during a scheduled visit, to:
HiDO does not take possession of your medications. Your medications stay in your home and remain your property. HiDO personnel do not remove medications from your home, transport them, store them, or keep samples of them. HiDO does not dispense, prescribe, sell, or take ownership of medications, and HiDO is not a pharmacy. Your physician's and pharmacist's instructions continue to govern how you take your medications. Photographs and measurements taken during sizing serve as HiDO's reference record in place of any physical sample.
HiDO does not handle controlled substances. HiDO personnel will not size, handle, or configure any medication that is a controlled substance under federal or state law.
If you participate in a research study, the study's IRB-approved informed consent document describes how study personnel handle medications during the study and controls to the extent described in Section 15.
HiDO may decline to size or configure a medication at our discretion, including where we believe the medication is unsafe, incompatible with the Dispenser, or outside the Service's design.
You authorize HiDO personnel to enter your home or other authorized location to set up, troubleshoot, retrieve, train you on, or otherwise support the Service, at times we have agreed to in advance. You agree to maintain reasonably safe conditions at your home during these visits. We may refuse to perform onsite work if our personnel encounter conditions that we judge unsafe, including without limitation aggressive animals, biohazards, threats of violence, or extreme structural hazards.
Many HiDO patients use the Service with help from a family member, a paid caregiver, a guardian, a conservator, or another Legally Authorized Representative (a "Representative").
If you are a Representative agreeing to these Terms on behalf of a patient:
HiDO is not a substitute for caregiver supervision. The Service is designed to assist a Representative or caregiver, not to replace them.
The Service uses artificial intelligence ("AI"), machine learning, analytics, and automated processing to operate, including:
These outputs are not medical advice. They are operational signals. They may be wrong, late, or missing. They are not a substitute for the judgment of your healthcare provider or your caregiver. Do not make medical decisions based on AI-generated outputs from the Service.
HiDO makes no representation that the AI features will:
We use de-identified or aggregated information generated by the Service to improve the AI and analytics over time, as described in the Privacy Policy.
Read this section carefully if you live in Illinois, Texas, Washington, or another state with a biometric privacy law.
If facial recognition is enabled on your Dispenser, the Service collects, stores, and processes biometric identifiers and biometric information, including:
Purpose: to confirm that the person interacting with the Dispenser at the moment of dispensing is the intended patient, to reduce medication errors, and to support caregiver alerts.
Storage: biometric templates are stored encrypted at rest and in transit. Face enrollment images are handled as biometric information. Dose videos are kept with other dispensing records on the schedule in the Data Retention Policy.
Destruction: biometric identifiers and biometric information are destroyed when their initial purpose is satisfied or within three years of your last interaction with the Service, whichever occurs first, in accordance with the Illinois Biometric Information Privacy Act, 740 ILCS 14, and the most restrictive comparable state law applicable to you.
No sale or lease: HiDO does not sell, lease, trade, or otherwise profit from your biometric identifiers or biometric information.
Your consent: the Dispenser enrolls the patient's face during setup, right after it is paired. Before setup begins, HiDO personnel will ask the patient, or the patient's Representative, to sign a separate written biometric consent and release. That separate consent, and not these Terms, is the written release required by 740 ILCS 14/15(b) and equivalent state laws. If it is not signed, we do not set up the Dispenser. You may withdraw consent at any time by contacting us using the information in Section 36. If you withdraw consent, we will turn off facial recognition on your Dispenser and delete your biometric identifiers and biometric information from active systems within thirty (30) days. Prior versions and encrypted backup copies are not restored or used and expire within twelve (12) months. These periods do not apply where we are required to retain the information by law or for the resolution of an existing dispute.
Audio and video at each dose: the Dispenser records a short video clip with audio during each dose. The microphone may pick up anyone nearby, so please tell household members and visitors.
Our collection and use of information is described in the HiDO Privacy Policy, available at hidohealth.com/privacy-policy. The Privacy Policy explains what information we collect, how we use it, who we share it with, how long we keep it, and your privacy rights, including under the California Consumer Privacy Act as amended by the California Privacy Rights Act, the Washington My Health My Data Act, and other applicable state laws.
If you are receiving the Service through an arrangement with a HIPAA covered entity (such as a payer or a health system), separate Business Associate Agreements, HIPAA Notices of Privacy Practices, authorizations, and informed consent documents may apply.
Where the law requires your separate consent (for example, for biometric information or for consumer health data under Washington law), we will ask for it separately and will not rely on your acceptance of these Terms.
You agree that HiDO may communicate with you electronically about the Service, including by email, push notification, in-app message, automated voice call, and SMS text message. Some of these communications are operational and required (for example, dose alerts, security notifications, account confirmations, and changes to these Terms). You cannot opt out of operational communications and continue to use the Service.
SMS marketing: if you choose to receive marketing SMS messages from HiDO, we will obtain your specific written consent before sending those messages, in accordance with the Telephone Consumer Protection Act and Federal Communications Commission rules. Your consent to marketing messages is not a condition of using the Service. You may opt out of marketing messages at any time by replying "STOP" to any marketing SMS, by adjusting preferences in the App, or by contacting us. Reply "HELP" for help. Message and data rates may apply. Message frequency varies. We do not share your mobile number or SMS consent with third parties for their marketing purposes.
Phone calls: by providing a telephone number, you consent to HiDO calling that number for operational purposes related to the Service, including using automated dialing systems and pre-recorded messages where permitted by law.
HiDO conducts and supports research, including studies funded by the National Institutes of Health and conducted under Institutional Review Board ("IRB") approval. If you are participating in such a study using the Service:
If you are not in a study, this section does not apply to you.
Some features of the Service may be prototype, investigational, beta, pre-commercial, or evaluation-stage. We will identify these features where reasonably possible, including in the App, in onboarding materials, or in study consent documents.
Prototype features:
You assume all risks of using prototype features, including the risks of errors, missed doses, inaccurate information, and other malfunctions, beyond what is described elsewhere in these Terms.
Some features have not been reviewed, cleared, or approved by the United States Food and Drug Administration. Nothing in the Service is to be interpreted as an FDA-cleared diagnosis, recommendation, or claim of clinical effectiveness unless we have specifically said so in writing.
If you post, upload, share, or otherwise provide content through the Service — including journal entries, messages, photographs, voice memos, comments, suggestions, ideas, feedback, or feature requests — you grant HiDO a worldwide, royalty-free, sublicensable, perpetual, irrevocable license to use, copy, modify, distribute, display, and create derivative works from that content for the purpose of operating and improving the Service.
For feedback, suggestions, and feature requests, you assign to HiDO all rights you have in the feedback, and HiDO may use the feedback for any purpose without compensation or attribution to you.
You represent and warrant that you have the rights to grant these licenses for everything you submit and that your submissions do not violate any law or any third party's rights.
You remain responsible for the accuracy and lawfulness of your submissions, including any health information you choose to enter into the App's journal.
HiDO and its licensors own the Service and all intellectual property in the Service, including the App, the Dispenser firmware and design, the underlying software and hardware, the websites, the documentation, the trademarks (including "HiDO" and "HiDO Health"), the logos, the trade dress, and all derivative works. No rights are granted to you except the limited license in Section 6.
If you believe content on the Service infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act, 17 U.S.C. §512, to our designated agent:
DMCA Designated Agent — HiDO Technologies, Inc.
Email: dmca@hidohealth.com
Mail: HiDO Technologies, Inc., Attn: DMCA Agent, 909 Mormon Street, Folsom, CA 95630
Phone: (916) 500-4275
Your notice must include: an electronic or physical signature; identification of the copyrighted work; identification of the allegedly infringing material with enough detail for us to locate it; your contact information; a statement that you have a good-faith belief that the use is not authorized; and a statement under penalty of perjury that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner. False notices have legal consequences under 17 U.S.C. §512(f).
We may terminate the accounts of users who repeatedly infringe copyrights.
The Service interacts with third-party services, including app stores (Apple App Store and Google Play), cellular and Wi-Fi networks, cloud infrastructure providers, analytics providers, communications providers, payment processors, pharmacy systems, and your healthcare providers' systems. These third parties have their own terms and privacy practices that we do not control. Your use of third-party services is at your own risk. HiDO is not responsible for third-party services and does not endorse them.
These additional terms apply if you obtained the App from the Apple App Store:
These additional terms apply if you obtained the App from Google Play:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS.
HiDO and its licensors disclaim all warranties, express, implied, statutory, or otherwise, including without limitation:
No oral or written information or advice given by HiDO or our representatives creates a warranty.
Some jurisdictions do not allow the exclusion of implied warranties; in those jurisdictions, the exclusions above apply only to the maximum extent permitted by law.
You acknowledge that medication management, in-home medical devices, automated dispensing, internet-connected hardware, AI features, and home onboarding all involve inherent risks, including without limitation:
You voluntarily assume these risks as a condition of using the Service.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HiDO and our affiliates, licensors, suppliers, employees, officers, directors, contractors, agents, and study personnel will not be liable to you or anyone else for:
Our total aggregate liability under or in connection with these Terms or the Service will not exceed the greater of:
This limitation applies regardless of the legal theory — contract, tort, strict liability, statute, or otherwise — and even if a remedy fails of its essential purpose.
Carve-outs. Nothing in this section limits liability that cannot be limited under applicable law, including without limitation:
Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, the limitations above apply to the maximum extent permitted by law.
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless HiDO and our affiliates, officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:
We will notify you of any claim we intend to assert under this section, and we may participate in or control the defense at our discretion. You will not settle any claim without our prior written consent if the settlement would impose obligations on us or admit fault by us.
The Service depends on internet connectivity, Wi-Fi, cellular networks, Bluetooth, mobile operating systems, cloud infrastructure, and third-party APIs. HiDO does not guarantee continuous connectivity, real-time delivery of alerts, or invulnerability to cyberattack. You acknowledge that outages, hacking, ransomware, malware, data corruption, denial-of-service attacks, and other security events may occur and may result in missed reminders, delayed alerts, inaccurate adherence information, loss of data, or unauthorized access.
To the maximum extent permitted by law, HiDO disclaims liability for events outside our reasonable control, including without limitation force majeure events, third-party network failures, third-party cloud provider failures, and cyberattacks not enabled by our gross negligence.
You may stop using the Service and close your account at any time by contacting us using the information in Section 36. We will help you remove any medications from the Dispenser and will arrange for you to return the Dispenser to us, or for us to pick it up.
We may suspend or terminate your access to the Service at any time, with or without notice, for any of the following reasons:
When the agreement ends:
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles, and by the Federal Arbitration Act and applicable federal law. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Read this section carefully. It limits how you and HiDO can resolve disputes.
Scope. You and HiDO agree that any dispute, claim, or controversy arising out of or relating to the Service or these Terms — including questions about the formation, validity, scope, or enforceability of this arbitration agreement — will be resolved exclusively through final and binding individual arbitration, with the limited exceptions in this section.
Pre-arbitration informal resolution. Before starting arbitration, you agree to first contact HiDO using the information in Section 36 and provide a written description of the dispute and the relief you seek. HiDO will do the same to you. The parties will attempt in good faith to resolve the dispute informally for at least sixty (60) days before either of us initiates arbitration.
Administering body. Arbitration will be administered by the American Arbitration Association ("AAA") under the AAA Consumer Arbitration Rules and the AAA Consumer Due Process Protocol. The Rules are available at adr.org. If AAA is unavailable, the parties will mutually select a comparable alternative.
Arbitrator. A single arbitrator will be selected under the AAA Rules. The arbitrator has the authority to decide threshold questions of arbitrability, except a court will decide enforceability of the class action waiver in Section 30.
Location. Arbitration will take place in Sacramento County, California, unless you and HiDO agree otherwise, or unless AAA rules entitle you to a different location.
Costs. HiDO will pay all AAA filing, administrative, and arbitrator fees for claims valued at less than US$75,000. For larger claims, fees are governed by the AAA Rules. Each party pays its own attorneys' fees unless applicable law or these Terms say otherwise.
Equitable relief in court. Either party may bring an action in court to enjoin infringement or other misuse of intellectual property rights, to enforce confidentiality, or to seek temporary injunctive relief pending arbitration.
Public injunctive relief. Nothing in this section or in Section 30 waives your right to seek public injunctive relief in any forum where applicable law does not permit that right to be waived. Any claim for public injunctive relief will be decided by a court, after the arbitrator resolves any individual claims, and is not subject to arbitration.
Small claims. Either party may bring qualifying claims in small claims court in Sacramento County, California, or in any other small claims court where venue is proper.
Confidentiality. The parties agree that arbitration proceedings, filings, and awards are confidential, except as required by law or to enforce an award.
Time limit. Any claim, other than a claim for personal injury or wrongful death, must be filed within one (1) year after the claim arises, or it is permanently barred, except where applicable law prohibits a shortened limitations period. Claims for personal injury or wrongful death are subject to the limitations period set by applicable law.
Opt-out. You have the right to opt out of this arbitration agreement. To opt out, send written notice within thirty (30) days of first accepting these Terms to:
HiDO Technologies, Inc., Attn: Arbitration Opt-Out, 909 Mormon Street, Folsom, CA 95630
Email: legal@hidohealth.com
Your notice must include your name, mailing address, the email address or phone number associated with your account, and a clear statement that you want to opt out of arbitration. Opting out of arbitration does not affect any other provision of these Terms.
You and HiDO agree to bring claims only in an individual capacity, not as a plaintiff or class member in a purported class, collective, consolidated, or representative proceeding.
The arbitrator may not consolidate claims and may not preside over any class, collective, consolidated, or representative proceeding.
This section does not limit your right to seek public injunctive relief as described in Section 29.
If a court of competent jurisdiction finds that applicable law prohibits enforcement of any part of this class action waiver as to a particular claim, then that claim (and only that claim) must be brought in court, and the rest of this section remains in force.
If you are a California resident and you release HiDO from any claim under these Terms or a related document, you expressly waive the protections of California Civil Code §1542, which reads:
"A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."
You also waive the protections of any similar law in any other jurisdiction.
The Service is subject to United States export control and sanctions laws. You represent that you are not located in a country subject to a United States embargo, that you are not designated as a Specially Designated National or otherwise blocked or denied party, and that you will not use the Service in violation of any export control or sanctions law.
We may update these Terms from time to time. If we make a material change, we will provide notice at least thirty (30) days before the change takes effect, by posting an updated version with a new Effective Date, by email, by in-app notification, or by another reasonable method. Continued use of the Service after the new Effective Date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service before they take effect.
We may modify, suspend, or discontinue any feature or part of the Service at any time. We will try to provide reasonable notice of material adverse changes.
You may not assign or transfer these Terms or your account without our prior written consent. HiDO may assign these Terms in connection with a merger, acquisition, sale of assets, reorganization, or by operation of law.
Entire agreement. These Terms, together with any documents expressly incorporated in these Terms (including any informed consent documents for research participation), are the entire agreement between you and HiDO regarding the Service and supersede all prior agreements, communications, and understandings. The Privacy Policy and the Data Retention Policy describe our information practices; they are not part of this contract.
No waiver. Our failure to enforce a right under these Terms is not a waiver of that right.
Severability. If any provision of these Terms is held unenforceable, the rest remains in force. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable, or, if that is not possible, severed.
No third-party beneficiaries. Except for Apple (Section 20) and our personnel and affiliates (with respect to the limitation of liability and arbitration provisions), there are no third-party beneficiaries.
Independent contractors. You and HiDO are independent parties. These Terms do not create any agency, partnership, joint venture, employment, or fiduciary relationship.
Headings. Section headings are for convenience only and do not affect interpretation.
English language. These Terms are written in English. Any translation is provided for convenience; the English version controls.
